TAFE NSW purchase from Central Coast
Council
Property: 49‑75 Mann Street and 126 Georgiana Terrace, Gosford
We refer to the contract for sale of the Property between The Minister Administering the Technical and Further Education Commission Act 1990 (Minister) (TAFE NSW), as purchaser, and Central Coast Council (Council), as vendor, dated 24 February 2023, as varied by the deed of variation dated 20 December 2023 (Contract).
As you know, completion of the Contract is conditional on the
purchaser obtaining Funding Approval - meaning that the purchaser must have
obtained the Project Approval and received Funds to Draw Down.
In accordance with clause 35.1(b) of the Contract, the
purchaser has used, and continues to use, all reasonable endeavours to obtain
Funding Approval by 31 July 2024 (CP Date). However, Funding
Approval was not provided for in the 2024/25 Budget statement presented to NSW
Parliament on 18 June 2024. TAFE NSW and the current Government have
acted in good faith with every effort made to achieve Funding Approval, however
this was always subject to the Budget outcome.
Notwithstanding this unexpected outcome, the purchaser will continue to use all reasonable endeavours to try and obtain Funding Approval in the forthcoming period and, accordingly, TAFE NSW requests Council’s agreement to vary the Contract by amending the CP Date to 31 July 2025. You and I discussed this request on 20 June 2024, which was followed up between yourself, Jamie Barkley, Paul Andersen and me on 11 July 2024.
TAFE NSW appreciates that if Council were to agree to the requested extension of the CP Date, completion of the sale of the Property to TAFE NSW would potentially be delayed by up to a further 12 months while Funding Approval is sought. TAFE NSW further understands that since discussions between TAFE NSW and Council regarding TAFE NSW’s proposed acquisition of the Property commenced in 2021 and initial terms were agreed in 2022, Council is of the view that the value of the Property has likely increased due to various factors, including the reclassification of the land and the undertaking of demolition works on the Property.
TAFE NSW therefore proposes that, if the extension to the CP Date is agreed, the parties also review the Price for the Property and reflect in the Price any increase in value that may arise as a result of the delayed completion. To do this it is proposed that the parties procure and commence, in the next 6 months, a valuation to determine the market value of the Property with that valuation prepared using the same valuation principles that were applied when the Price for the Property was originally determined (as set out in paragraph 3.3 of the Memorandum of Understanding between Council, TAFE NSW and Landcom dated on or around April 2022, a copy of which is attached (Attachment A) and having regard to the recent agreement between TAFE NSW and Council as to the agreed demolition costs.
TAFE
NSW believes a new TAFE NSW campus on this site will be the best outcome for
Gosford from a community and economic benefit perspective, when compared to any
alternate possible uses for the site. See attached summary (Attachment B) outlining this advice. TAFE
NSW therefore would appreciate Council’s consideration and in principle
approval of the proposal set out in this letter. If the proposal is
acceptable to Council in principle, TAFE NSW will arrange for a deed of
variation to the Contract to be prepared to document the proposal for
Council’s and the Minister’s consideration and approval.
